Chief Compliance Officer
The
position of Chief Compliance Officer is responsible for ensuring the
Company conducts business in compliance with all applicable federal and
state laws, rules and regulations and maintain the highest level of ethical
standards.
Oversee
the preparation and updating of written policies and procedures. Manage compliance training for new and
existing employees and ensure that internal training and assessment
procedures reflect changes in applicable laws, regulation and
administrative positions. Perform
surveillance monitoring for compliance with the Adviser’s
policies and procedures through internal audits. Coordinate with Legal Counsel and
outside compliance consultants to review compliance issues and other legal
matters in order to assess the impact of changes in applicable laws, rules
and regulation. Oversee the
registration and other filings where the company operates and ensure that
the Company and its investment advisers are properly registered, licensed and
qualified to conduct business pursuant to federal laws and all applicable
laws of state. Supervise the Code of
Ethics to ensure that the Company conducts its business with the highest
level of ethical standards and in keeping with its fiduciary duty to its
clients. Ensures that books and
records are promptly and accurately prepared and maintained in accordance
with Section 204 of the Advisers Act.
Responsible for ensuring that the Company meets all disclosure
requirements and that all incoming and outgoing correspondence with the
public is in compliance with applicable laws, rules and regulations
governing the activities of the firm. Periodically review the effectiveness
of the firm’s procedures regarding review of
correspondence and make revisions as necessary. Oversees that the Company’s
use of electronic
media for communication purposes is in conformance with applicable laws,
rules and regulations. Review the
use of electronic communications at regular and frequent intervals and
periodically review SEC releases to ensure that the Company’s
procedures regarding
its use of Electronic media comply with SEC requirements.
Bachelor’s degree required, Master’s
preferred; 3-5 years of related experience in a similar industry with an understanding of the
Investment Advisers Act of 1940 and the Company Act of 1940, strong
knowledge of compliance and corporate governance. Highly motivated with a strong work
ethic and integrity, strong analytical skills, work independently and
multi-task. Excellent verbal and
written communication skills, strong interpersonal skills and proficient in
MS Office.
Portfolio Management Intern
- Summer 2008
The
position of portfolio management intern was established to assist the
managing member & analysts in day-to-day functions, while gaining
hands-on experience. Conduct
industry research and analyze investment opportunities in distressed
companies. Assist with/recommend
buy/sell changes within the portfolio.
Analyze company and market fluctuations and trends. Coordinate with other areas regarding any
portfolio transactions. Conduct
fundamental due diligence and form valuation opinions. Use discounted cash flow analysis and
cash flow multiples valuation tools for credit and equity valuations. Ability to influence positions in the
portfolio.
Minimum
qualifications for this paid internship are matriculation towards an MBA in
Finance, preferably first year student (from a top tier school), with the
ability to work a minimum of 40 hours per week during the summer. Highly motivated with a strong work
ethic. Analytical individual with
the ability to work independently and multi-task. Excellent verbal and written
communication skills and strong interpersonal skills. Proficient in MS Office, with an emphasis
on Excel. Prefer some work
experience dealing with distressed credits and/or financially troubled
companies or prior internship experience in financial services/large
brokerage firm. Prefer exposure to
an investment bank training program.
